I am looking for a qualified commercial contracts lawyer for an ongoing working relationship with a UAE based business operating across creative consultancy and proprietary software.
The immediate assignment will involve advising on and drafting the Terms and Conditions and Privacy Policy for proprietary digital products currently under development.
Product information, functionality, commercial arrangements, technical architecture, and data handling details will be shared only with shortlisted candidates after an NDA has been signed.
I do not expect the lawyer simply to adapt standard templates. The selected candidate should understand the products and their commercial model, ask the necessary questions, identify the appropriate legal documentation, and draft terms that reflect how the products will actually operate.
Following the initial assignment, the relationship may extend to:
1. Reviewing and negotiating client contracts
2. Drafting Master Services Agreements and Statements of Work
3. Creative services and consultancy agreements
4. Software development and licensing agreements
5. Intellectual property ownership and licensing provisions
6. Confidentiality agreements
7. Supplier, freelancer, and subcontractor agreements
8. Partnership and commercial collaboration agreements
The ideal candidate should have:
1. Strong experience in commercial contract drafting and negotiation
2. Direct experience with software Terms and Conditions and Privacy Policies
3. A sound understanding of intellectual property, software licensing, data protection, limitation of liability, indemnification, and confidentiality
4. Experience working with creative, consulting, technology, or software businesses
5. Familiarity with UAE law and international commercial agreements
6. The ability to provide practical commercial advice rather than unnecessarily complicated legal language
