Freelance Solicitor - On-Call Commercial and Compliance Support
About the client
A UK retail business selling through online marketplaces and direct channels. The client has an in-house legal and compliance team and is looking for a practising solicitor to provide quick second opinions when they are unavailable.
The role
A practising solicitor to provide short-turnaround advice on a freelance basis, alongside the existing team rather than in place of it.
This is not a role that requires drafting long documents or running matters end to end. It is a second opinion and a sounding board: a short question, a considered answer, usually within a working day. Typical questions run to a few paragraphs of context and need a clear view on where the client stands and what the options are.
Areas to be covered
- Contracts and commercial. Platform terms and merchant agreements, supplier and distribution agreements, addenda and variations, intercompany arrangements between UK and US entities.
- Data protection and compliance. UK GDPR in a B2B context, handling of commercially sensitive and personal data in third-party requests, retention and transfer questions.
- Consumer and regulatory. DMCCA 2025, review and ratings compliance, advertising and pricing claims, distance selling.
What a typical instruction looks like
- A counterparty has not performed obligations under an agreement. Is this a breach, and what are the options?
- A promotional structure is proposed. Does the pricing presentation comply with current guidance?
- Review of a short clause or a proposed variation before signature.
What we are looking for
- Qualified and currently practising in England and Wales, with valid professional indemnity insurance.
- Commercial judgement over exhaustive analysis. A clear view on where the client stands and what the realistic options are, including when a point is not worth pursuing.
- Comfortable giving a provisional view quickly, and clear about when a question needs fuller work.
- Experience of e-commerce, marketplaces or reseller arrangements is an advantage.
Engagement
Open to proposals on structure. A small monthly retainer with an agreed response time, or an ad hoc hourly arrangement, would both be considered. Please indicate your rates, typical availability and turnaround.
Volume is likely to be light and intermittent, concentrated around contract negotiations and periods of higher trading activity.
