I need a seasoned corporate lawyer who works daily with the Malaysian Companies Act to safeguard a pending share transfer that the company’s current directors are refusing to register. Their refusal is also tied to a recent dilution exercise that, in my view, was engineered to weaken my position.
Where the matter stands
• My Request to gift and transfer my shares to another shareholder was blocked on the pretext it will only be done after a operational capital raising exercise disguised as a shares restructuring exercise is completed
• I hold emails and letters in which the board explicitly declines to record the transfer Until after the operating capital raising exercise is completed which is aimed at dilution of the shares
What I need from you
1. A rapid assessment of the legality of the dilution and the refusal to register, with reference to the relevant provisions of the Companies Act 2016 and any leading Malaysian cases.
2. A clear action plan—whether that is a letter before action, an application under s.106/107 (or other suitable sections) for court-ordered registration, an injunction to halt further dilution, or a negotiated settlement strategy.
3. Drafting and filing of all documents needed to move ahead, plus representation or coordination with counsel should litigation become necessary.
4. Practical advice on securing my rights in the interim, including any notices, proxy steps or shareholder remedies that can keep the transfer alive until final resolution.
Acceptance criteria
• Written legal opinion (PDF) outlining statutory grounds and case law within five working days of engagement.
• First round of correspondence or court papers drafted, approved by me and dispatched/ filed within ten working days after opinion sign-off.
• Regular progress updates no less than once a week until the matter is closed or handed to court.
If you have successfully completed similar shareholder disputes in Malaysia, especially those involving refusal to register transfers, I would like to review the outcome or at least the pleadings you prepared (with confidential details redacted). Let’s restore the shareholding position to what the contract intended and keep future dilution in check.
