I already have draft distributor agreements and short customer-facing order forms for our Vortex Fusion Charger line. Before we roll them out, I need a lawyer to run a fine-toothed comb over every clause that could expose us—or our distributors—to unwanted risk. The priority is risk and liability: indemnities, limitations of damages, warranty wording, governing-law clauses, and anything else that might be challenged in a courtroom.
Because our distributors operate on both sides of the border, the review must consider state-specific laws across the United States as well as provincial requirements in Canada. Where language needs to shift to remain enforceable, please flag the exact wording that should change and propose solid alternatives.
Deliverables
• Red-lined copies of each agreement and form showing all recommended edits
• Clean versions ready for signature and online use
• A short memo summarising key risk points, the rationale for each change, and any jurisdiction-specific caveats (US states and Canadian provinces called out separately)
I will supply the current Word drafts as soon as we start. If you prefer to annotate in Track Changes, perfect; if you have another tool that keeps revisions transparent, I’m open to it.
