U.S. Corporate Lawyer - Of Counsel / Contract
We are seeking an experienced U.S.-qualified corporate lawyer to support U.S.-related legal mandates on a flexible, project-based basis.
The role is well suited to a lawyer who is comfortable working collaboratively with an experienced business/legal professional who may undertake a substantial portion of the initial drafting, analysis, coordination, and transaction work, with U.S. counsel providing the necessary U.S. legal advice, review, refinement, and professional oversight.
Scope of Work
* Advise on U.S. corporate and commercial law matters
* Review, revise, and vet agreements, transaction documents, corporate materials, and legal work product
* Provide U.S.-specific legal analysis where required
* Identify material legal, regulatory, structural, and contractual issues
* Advise on transaction structure, corporate governance, commercial arrangements, and related matters
* Review work that has been substantially prepared in advance and provide targeted comments, revisions, and legal sign-off where appropriate
* Assist with negotiations or client-facing discussions where U.S. counsel involvement is required
* Coordinate with other U.S. specialists where a matter requires expertise outside the lawyer’s core practice area
* Provide efficient, commercially practical advice without unnecessarily duplicating work already completed
Ideal Background
* Admitted and in good standing in at least one U.S. jurisdiction
* Strong background in corporate, commercial, M&A, securities, financing, or transactional law
* Ideally 7-15yrs+ years of relevant legal experience, although exceptional candidates with different levels of seniority will be considered
* Experience at a reputable law firm, sophisticated boutique, in-house legal department, or combination thereof
* Comfortable reviewing and taking responsibility for sophisticated work product prepared by another experienced professional
* Strong issue-spotting, and judgment
* Commercially minded and able to distinguish material issues from lower-value legal points
* Responsive, pragmatic, and comfortable working on discrete mandates as they arise
Engagement Structure
* Independent contractor, outside counsel, or of-counsel style relationship
* Work expected to be mandate-driven rather than full-time
* Remote collaboration
* Compensation can be structured on an hourly, fixed-fee, retainer, or matter-specific basis
* Potential for an ongoing relationship as the volume of U.S. mandates develops
