I’m assembling a small, highly-skilled legal advisory group to guide the launch and ongoing operation of a private bank and its associated estate structures. The work is multidisciplinary: we will be drafting the foundational documents, securing regulatory compliance, and creating governance frameworks that stand up to scrutiny in every relevant jurisdiction in the United States.
Your experience must sit at the intersection of American banking law and the Uniform Commercial Code, while also extending into trust and estate management. Day-to-day, you’ll interpret UCC Articles, design policies for negotiable instruments, postal banking and translate complex banking regulations into practical procedures the business team can execute. Because the project also involves layered ownership interests, familiarity with private equity mechanics is essential; you’ll help us weave those requirements into our operating agreements and related contracts.
Deliverables I will rely on:
• Formal opinion memos and checklists confirming Banking and UCC compliance
• Drafted or red-lined trust, estate, and business governance instruments ready for execution
• Negotiable instrument templates and corresponding risk-mitigation guidelines
• Ongoing, concise advice (via email or scheduled calls) as regulatory or transactional questions arise
Acceptance criteria: Every document you submit must cite the controlling authority (statute, regulation, UCC article, or case) and include a short explanation of its practical impact on the bank’s operations or the estate plan. Clear, actionable language is mandatory—no generic boilerplate.
