Engagement opportunity: UK corporate lawyer, shareholders’ agreement localisation
We are looking for a qualified lawyer authorised to practise in England and Wales to support one of our clients on a cross-border corporate matter.
Background
Our client is a Hungarian limited liability company (Kft.) that is setting up a subsidiary in the United Kingdom.
Scope of work
Review the client’s existing Hungarian-law shareholders’ agreement
Adapt and localise it so it complies with the law of England and Wales and with UK market practice so that it can be submitted along the company's UK entity's establishment process.
Make sure it is consistent with the Companies Act 2006 and the UK subsidiary’s articles of association, and recommend any changes the articles need
Flag any provisions that cannot be carried over directly and propose alternatives
The original SHA is in English, but was created according to Hungarian law.
What we’re looking for
Qualified as a solicitor or barrister in England and Wales, with a current practising certificate
Proven experience with shareholders’ agreements, joint ventures or corporate structuring
Cross-border experience is a plus, ideally involving Central and Eastern European clients
How to apply
Please send a short summary of your relevant experience, your fee (fixed fee or hourly rate) and your availability.
