I have a bundle of about forty draft agreements, policy pages and a 12-page summary covering three related Houston-area service ventures:
• a missed-call text-back SaaS for local service "shops"
• a turnkey website platform for HOA boards
• a pool check-in / pool-log mobile app for pool management firms
What I need from you, as a Texas-licensed attorney, is a thorough document review plus a follow-up call where you walk me through the key legal risks you spot. The package includes terms of service, privacy policies, SMS/text provisions (for the first business), service and pilot agreements, “founding customer” deals, and a short list of open questions—along with my request for advice on whether one umbrella LLC or separate LLCs makes the most sense.
Areas that deserve the sharpest focus are:
• SMS consent, texting rules and customer opt-outs under TCPA
• Privacy, data collection practices and required website disclosures
• Contract structure, liability caps, payment terms and indemnities
The businesses collect names, phone numbers, emails, some payment credentials and may gather data from website visitors, HOA residents and pool users, so a clear, compliant data-handling framework is essential.
Deliverables
1. Marked-up versions or redlines of every document with concrete suggestions.
2. A concise risk memo tying issues to Texas law/TCPA/privacy statutes.
3. A 30-minute (minimum) call to explain the top risks and your rationale.
4. Your recommendation on entity structure (single vs. multiple LLCs) with brief supporting reasoning.
Please include in your proposal:
• Your Texas bar number
• A single flat-fee quote for the entire package
• Your turnaround time—first review by 7 Nov is ideal
• Highlights of your work with small-business contracts, SMS/TCPA compliance and website privacy
All files will be shared privately once we agree on terms. I look forward to working with a Texas counsel who can get this done efficiently and clearly.
