I’m a Canadian resident who set up a single-member U.S. LLC that has never produced income. Because nothing has ever been filed, I now need to catch up on every outstanding U.S. federal requirement in one sweep and eliminate any lingering IRS exposure.

Here is exactly where things stand:
• I am the only owner of the LLC.
• No federal or state returns have ever been filed for the entity.
• The filings are already late.

Your task is to identify every form a foreign-owned, no-income, single-member LLC in the state of Texas must submit (for example the pro-forma Form 1120 with Form 5472, 1040-NR, and any related disclosures), prepare them for 2025 year and transmit them to the IRS. If a state return or extension is also required, please include that in the package.

Deliverables (per open tax year)
1. Completed and signed federal forms in PDF.
2. Proof of electronic submission or mailing receipt.
3. Brief memo outlining penalties (if any) and next-year filing calendar.

The project is finished once the filings are accepted and I have clear instructions for staying compliant going forward. Experience with late filings for non-resident single-member LLCs is essential.
