Incorporation, Resident Director & Virtual Address

I am setting up a new Indian company whose shareholders and original directors will all be non-residents. To satisfy Indian law I need a complete incorporation package that also covers two key gaps:

• a resident Indian director who can lend his or her DIN, provide KYC documents, sign the MCA forms and remain on the board for at least the first year;
• a virtual office address in Gurgaon that can be used as the company’s registered office and for all ROC, GST and bank correspondence.

Once engaged, you will prepare and file every document required under the SPICe+ route, obtain DINs and DSCs for all directors, draft the MoA and AoA, secure the Certificate of Incorporation, and deliver PAN / TAN numbers. I will supply all foreign shareholders’ passports, proof of address and apostilled resolutions; I expect you to tell me exactly how they must be formatted so they sail through MCA scrutiny.

Acceptance criteria
1. MCA issues Certificate of Incorporation reflecting the agreed company name and Gurgaon registered office.
2. Resident director is officially appointed, DIN activated and KYC completed.
3. Lease agreement (or equivalent) for the virtual office is filed and accepted.
4. PAN and TAN delivered in digital form.
