I'm a 50% shareholder of a canada corporation (CorpA). My business partner owns the other 50%. CorpA currently has no income and minimal value. We plan to hold it long-term as a parent company for multiple ventures.
I'm looking for a CPA to advise on and help implement the following:
Holding company setup. Incorporate a personal holding company and transfer my CorpA shares into it under a section 85 rollover. We want this done before our new venture builds value.
New venture (NewCo). CorpA will own 62.5% of NewCo, three other partners will own 32.5%, and I'll own 5% separately. I need advice on whether to hold that 5% personally or through my holding company.
Funding and early losses. NewCo is expected to lose money for its first few years before becoming profitable. I'd like advice on:
how to fund it (shareholder loans versus equity, and through the corporate chain versus personally);
how to preserve and use the losses;
whether a personal write-off would be available if the venture fails;
which credits or programs we may qualify for (SR&ED, BC venture capital tax credit, GST registration).
Side business income. I have small side gigs. I need advice on whether to keep them as a sole proprietorship or incorporate a separate company under my holdco later.
Ongoing work. I'll need annual accounting and corporate tax returns for the holding company, and possibly for CorpA and NewCo. I'd also like advice on moving cash between the companies tax-efficiently, and on sharing the small business deduction limit across associated companies.
