Corporate Contracts & NDAs Drafting

I am looking for a U.S-qualified corporate lawyer to put solid paperwork in place for my start-up. The immediate need is twofold: first, an airtight mutual NDA with developers and Marketing agencies
The developers can be anywhere in the world that works in every state, and second, a contract template I can issue to both software developers and marketing professionals who work with us on a freelance basis.

The agreement must cover payment terms, detailed project-deliverable definitions, and clear termination conditions. Beyond the usual clauses, I need explicit language on code ownership and a section that officially recognises me as a Technical Co-Founder with a fair profit-share structure. I also want the contract to address “all caveats” so nothing falls through the cracks.

Finally, I need a concise reply (or cover letter) I can send to my co-founder that outlines the proposal and highlights why these clauses protect everyone involved.
