I am finalising a contract and need a clean, well-structured “Interpretation” section that ties the whole document together. It must cover all the usual rules—singular/plural, gender neutrality, inclusive terminology, headings and sub-headings, how days are calculated, entire-agreement language, and the way inconsistencies between the main body and any schedule, annexure or exhibit are resolved.
My priority is the cross-referencing: every clause, schedule, annexure and exhibit has to follow a mixed format (for example, “Clause 1A”, “Schedule A1”, “Annexure 2B”). The numbering must remain consistent no matter how many future inserts we make, so smart drafting is essential.
Deliverable
• A complete set of interpretation clauses ready to drop into the contract, supplied in Word with track changes switched on.
• Any accompanying drafting notes that explain the logic behind the mixed reference scheme so I can maintain it later.
Experience drafting commercial contracts and a solid grasp of common-law drafting conventions will be highly valued.
